Founded in 2005, Safety Power has grown substantially, with expanding commercial operations in Canada and the United States.
Position Summary
We are seeking a commercially minded, technically capable In-House Counsel who holds both a law degree and an engineering degree. This is a senior, hands-on position responsible for leading complex contractual negotiations, advising on commercial and legal risk, and providing practical counsel across our manufacturing and engineering businesses.
The successful candidate will personally review and redline sophisticated contracts, negotiate directly with customers and counterparties, and manage external counsel on matters requiring specialist or jurisdiction-specific support. They will operate independently within agreed business parameters, elevate significant decisions to senior executives, and present substantially negotiated agreements for final approval. Strong familiarity with AI tools is required.
Key Responsibilities
- Lead legal review, drafting, redlining and negotiation of complex, high-value customer contracts, master supply and service agreements, procurement terms and other commercial arrangements, including lengthy agreements with multinational counterparties.
- Assess and negotiate liability limitations, indemnities, warranties, performance guarantees, specifications, testing and acceptance, delivery, payment, intellectual property, termination rights and dispute resolution.
- Integrate legal analysis with engineering realities: assess technical obligations, scope, performance criteria, commissioning requirements and change-order provisions in consultation with engineering and operations.
- Negotiate industrial and commercial real estate leases, addressing operating costs, repairs, environmental matters, assignment, renewal and termination rights; assist with acquisitions and related agreements.
- Advise on supplier contracts, confidentiality arrangements, joint ventures and other Canadian and U.S. transactions, involving specialist counsel when appropriate.
- Engage, direct and manage outside law firms; evaluate advice, control fees and translate specialist recommendations into workable agreements and commercial decisions.
- Prepare concise executive summaries of key risks, proposed compromises and unresolved issues; escalate material departures from approved positions and secure final executive approval.
- Collaborate closely with sales, finance, engineering, project management and operations; develop templates, negotiating playbooks and efficient contract-review procedures.
Required Qualifications
- Bachelor’s degree in Engineering from a recognized university (mandatory).
- LL.B. or J.D. degree and membership in good standing with the Law Society of Ontario, or eligibility to obtain Ontario licensure promptly (mandatory).
- At least 5 years of relevant legal experience, with substantial direct responsibility for negotiating complex commercial agreements; exceptional candidates with less experience may be considered.
- Demonstrated ability to independently prepare substantive contract redlines and negotiate effectively with sophisticated legal and procurement teams.
- Strong judgment concerning commercial risk, technical feasibility and when external specialist advice is required.
- Excellent written and verbal communication; ability to advise executives concisely and manage parallel negotiations with limited supervision.
Preferred Experience
- In-house or private-practice experience with manufacturing, engineered equipment, energy, industrial projects or technical services.
- Working knowledge of commercial issues related to engineering specifications, installation, testing, commissioning and performance guarantees.
Ideal Candidate
A practical lawyer with an engineer’s grasp of technical risk. This person can work through a 100-page customer agreement, distinguish consequential issues from routine drafting points, propose commercially realistic solutions and bring a negotiation to closure. They are comfortable writing redlines themselves, using outside counsel selectively and consulting senior leadership on material decisions.
What We Offer
- $140,000–$180,000 CAD base salary, plus potential performance bonus.
- Substantial autonomy, direct access to senior executive leadership and influence over major commercial transactions.
- Exposure to multinational customers and Canadian and U.S. operations.
- Health, dental and retirement benefits and professional development opportunities.
